1. Scope and application
These Business & Trade Terms of Sale apply to purchases made from AEMYR LTD (“AEMYR”, “we”, “us”) by customers acting wholly or mainly for business, trade or professional purposes (“Customer”, “you”).
This includes businesses, sole traders, architects, interior designers, installers, developers, hospitality operators and other commercial purchasers.
These terms apply to business-to-business transactions only. They do not replace or limit statutory protections applicable to customers purchasing as consumers.
By placing and confirming a trade order, you agree to these terms, provided they have been made available to you before the contract is formed.
2. Quotations and order acceptance
2.1. Written quotations and pro forma invoices set out the proposed products, quantities, specifications, prices, delivery charges and any agreed trade discounts.
2.2. Quotations are subject to product availability and confirmation of supplier pricing and delivery arrangements. Unless otherwise specified, quotations are valid for 14 days.
2.3. A pro forma invoice is a request for payment and is not a VAT invoice. Issuing a quotation or pro forma does not itself constitute acceptance of an order.
2.4. An order becomes binding when AEMYR confirms its acceptance in writing following agreement of the final specification, applicable terms and payment arrangements.
2.5. If AEMYR cannot fulfil an order after receiving payment, we will discuss available alternatives or provide a refund for the goods we cannot supply.
3. Prices and payment
3.1. Unless expressly stated otherwise, trade prices are quoted in pounds sterling and exclude VAT.
3.2. VAT is charged at the applicable rate and shown separately on quotations, pro forma invoices and VAT invoices.
3.3. Delivery charges are quoted separately unless expressly included in the agreed price.
3.4. Any trade discount applies only to the products or services identified in the quotation. Discounts do not automatically apply to delivery, additional services or subsequent purchases.
3.5. Unless agreed otherwise in writing, payment is required in full, in cleared funds, before an order is placed with the supplier.
3.6. Payment must be made to the bank account specified on the relevant AEMYR pro forma invoice.
4. Product specifications and suitability
4.1. Customers are responsible for reviewing product descriptions, technical specifications, dimensions, fuel types, installation requirements and manufacturer documentation before confirming an order.
4.2. AEMYR will provide available product information and reasonable assistance with product selection.
4.3. Where a product is intended for a particular commercial application, the Customer must communicate any special operational or installation requirements before ordering.
4.4. The Customer is responsible for ensuring that installations comply with applicable building regulations, safety standards, manufacturer instructions and any site-specific requirements.
4.5. Unless expressly agreed in writing, AEMYR does not provide installation, commissioning, structural design or professional certification services.
4.6. AEMYR is responsible for supplying goods that conform to the agreed product specification and meet legal requirements applicable to those goods as supplied. Unless expressly agreed in writing, AEMYR does not assume responsibility for the suitability of goods for a customer's particular site, installation or commercial operation. Nothing in these terms excludes or restricts liability where doing so would be unlawful.
5. Trade orders, cancellations and returns
5.1. Business-to-business purchases do not carry the automatic consumer change-of-mind cancellation rights applicable to qualifying consumer distance sales.
5.2. Once an order has been accepted by AEMYR, it cannot be cancelled or returned for change of mind without AEMYR's prior written agreement.
5.3. Requests to amend or cancel an accepted order will be considered individually, taking account of whether goods have been ordered, manufactured, allocated, dispatched or otherwise committed to by the supplier.
5.4. Where AEMYR agrees to a cancellation, any deduction for reasonable, demonstrable costs already incurred will be explained to the Customer before the cancellation is finalised.
5.5. Returns for convenience require prior written authorisation from AEMYR. Any agreed return arrangements, carriage charges or restocking costs will be confirmed in writing.
5.6. These provisions do not restrict the Customer's legal rights or remedies where goods are faulty, incorrectly described, incorrectly supplied or otherwise fail to conform to the contract.
6. Delivery and access
6.1. Delivery arrangements, charges and destinations will be specified in the accepted quotation or pro forma invoice.
6.2. Unless otherwise agreed, delivery of large or specialist goods is kerbside delivery to the specified commercial premises.
6.3. The Customer must provide accurate delivery details and ensure suitable vehicle access, an appropriate unloading area and personnel or equipment to receive and unload the goods safely.
6.4. Kerbside delivery does not include installation, positioning within the premises, movement across the site or disposal of packaging unless expressly agreed.
6.5. Quoted delivery times are estimates unless a particular delivery date has been expressly agreed as binding.
6.6. AEMYR will communicate material changes to anticipated delivery arrangements as promptly as reasonably possible.
6.7. Any additional charges resulting from incorrect delivery details, failed delivery attempts or access restrictions attributable to the Customer may be charged at reasonable documented cost, following notification.
6.8. Risk of accidental loss or damage to the goods passes to the Customer when the goods are delivered at the agreed delivery point in accordance with the contract. This does not exclude AEMYR's responsibility for damage occurring before that point.
7. Inspection and delivery discrepancies
7.1. Customers should inspect the goods and packaging as soon as reasonably practicable after delivery.
7.2. Visible damage, missing items or discrepancies should be recorded with the delivery provider where possible and reported to AEMYR promptly, ideally within 48 hours, together with photographs and relevant details.
7.3. Where damage or a defect is not reasonably discoverable on delivery, the Customer should notify AEMYR promptly after becoming aware of it.
7.4. The suggested notification period is intended to help AEMYR investigate and resolve problems efficiently. It does not automatically remove any legal remedy that would otherwise be available.
7.5. Customers should retain relevant packaging where reasonably practicable until a reported delivery issue has been assessed.
8. Faulty or non-conforming goods
8.1. AEMYR is responsible for supplying goods that conform to the contract and meet applicable legal requirements, including relevant implied terms under the Sale of Goods Act 1979.
8.2. If goods are faulty, incorrectly supplied or do not meet the agreed specification, the Customer should contact AEMYR with the order reference, a description of the issue and supporting evidence where available.
8.3. AEMYR will assess the issue and arrange an appropriate remedy in accordance with the contract and applicable law.
8.4. Depending on the circumstances, available remedies may include repair, replacement, a price adjustment or refund.
8.5. Manufacturer warranties, where applicable, are additional to the Customer's contractual and statutory rights against AEMYR.
9. Installation, operation and maintenance
9.1. Products must be installed, operated and maintained in accordance with the relevant manufacturer instructions and applicable regulations.
9.2. Where specialist installation or commissioning is required, the Customer is responsible for appointing appropriately qualified personnel unless installation.
10. Changes to These Terms
AEMYR reserves the right to update or amend these Business & Trade Terms of Sale from time to time to reflect changes in our business operations, commercial practices or applicable law.
The latest version will be published on our website, together with its effective date.
Any changes will apply to orders placed after the updated terms take effect. Orders already accepted by AEMYR will remain subject to the terms agreed at the time of order acceptance, unless both parties expressly agree otherwise in writing.
11. Governing Law and Jurisdiction
These Business & Trade Terms of Sale, and any disputes arising from them or from a related contract of sale, are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction over disputes arising from or relating to these terms or contracts.
